What Is a Colorado Periodic Report?
The Colorado Periodic Report is a yearly checkup with the state that LLCs, corporations, non-profits, and other reporting entities (domestic and foreign) are required to file with the Colorado Secretary of State’s office.

What happens if I don’t file my report?
Filing your Periodic Report late or failing to file can result in the following:
- Late filing penalties ($50 or $75 after 90 days)
- Your entity status being marked “Delinquent” (losing good standing with the state) after 90 days
- Additional filing requirements, such as a Statement Curing Delinquency for delinquent entities
- Losing your right to your company’s original name

How Do I file my Colorado Periodic report?
You must file your company’s Colorado Periodic Report online using the Colorado Secretary of State website.
Note: The person who files your Periodic Report will have their personal name, email, phone, address, and all their contact information listed on your company’s permanent public records. To avoid this, use our Renewal Service. We’ll list our information instead.
Step 1:
Get all the information required for your filing
To file your Periodic Report, you’ll need:
- Your business ID number (if you don’t know your business ID number, we’ll show you how to find it in Step 2)
- Business entity name
- The state where your business was formed
- Principal street and mailing address
- Full name and street address of your registered agent
- Full name and address of the individual filing your Periodic Report
Step 2:
Find your BUSINESS summary page and id number
- Go to the Secretary of State’s Record Identification or ID Search page.
- Just as you would with any search engine, simply enter your business’s name in the search box and click “search.”
- You’ll be taken to a list of business records related to your search. Find your company in the list of results.
- Click on your business to go directly to your business entity’s summary page.
- Your business ID number will be listed under your business name and status (write it down for future reference if you wish).
Step 3:
Fill out the online PERIODIC report form
- To file your Periodic Report, click on the button that says “Confirm” at the bottom of the page. You will be taken to a new page that contains the online filing form for your report.
- Complete the online form by filling in the required information about your company.
Step 4:
Review your report and pay the filing fee
- When you have finished filling out the form, click on “Submit,” which will take you to a “Transaction Preview” page.
- The “Transaction Preview” page will show you a preview copy of the form. Take this time to review your form for errors.
- If you need to make any corrections, click on “Return to Form” at the bottom of the page. If everything looks good, scroll to the bottom of the page and click “Accept.”
- After clicking “Accept,” you will be taken to the payment screen. Enter your payment information and click on “Pay Now.”
Step 5:
Get confirmation
Your report will be processed immediately, and you’ll receive a confirmation message. If you want, you can print out or save a digital copy of the report for your business records.
Colorado Periodic Report FAQs
The state fee for the Colorado Periodic Report is $25. Since filing is only done online, you’ll need to pay with a debit or credit card.
Your Colorado Periodic Report is due during your company’s anniversary month. So, if you formed your company in July 2025, your Periodic Report is due between July 1st and July 31st every year after that.
If you’re not sure when your company was formed, you can find your reporting month on your business entity’s summary page (use the Secretary of State’s Record Identification or ID Search to find your summary page) under “Periodic Reporting Month.”
You are allowed to submit your report up to two months before or after your periodic reporting month. After that, your company will be marked “Delinquent,” and when you do file, you’ll be subject to a $50 late filing penalty. (You may also experience additional negative consequences, such as loss of good standing or losing your ability to do business in Colorado, depending on how long you wait to file.)
You can update your principal office address and your registered agent information.
Your Colorado Periodic Report must be filed online with the Secretary of State. There are no paper filings in Colorado.
